These Terms of Service ("Terms") form a legally binding agreement between you and Hey Clio, Inc. ("Clio," "we," "us," or "our"). By creating a Clio account or using the Clio app or website, you agree to these Terms. If you do not agree, do not use Clio.
If you are under 18, a parent or guardian must also agree to these Terms on your behalf. By allowing a minor to use Clio, a parent or guardian agrees to these Terms and is responsible for that minor's compliance with them.
Note: Section 10 contains important information about dispute resolution, including arbitration for adult users and limitations on class actions. Please read that section carefully.
Clio is intended for students who are 13 years of age or older and currently enrolled in a school that uses Google Classroom. By creating an account, you represent that you meet these requirements.
Clio is not intended for children under 13. If you are under 13, you may not create an account or use Clio. If we become aware that a user is under 13, we will immediately suspend the account and delete all associated data.
Clio is currently available in the United States only.
You create a Clio account by providing your first name and mobile phone number. You may also create an account using an email address and password, or via third-party sign-in. You are responsible for keeping your login credentials secure and for all activity that occurs under your account.
You agree to provide accurate information when creating your account and to keep it current. Providing false information — including a false age — is a violation of these Terms and may result in account suspension or termination.
Each student may create one Clio account. Creating multiple accounts is not permitted.
You are responsible for maintaining the security of your account. If you believe your account has been compromised, contact us immediately at support@heyclio.ai. We are not liable for any loss resulting from unauthorized access to your account where you have not taken reasonable steps to secure it.
You may delete your account at any time through the app's settings. Account deletion is immediate and permanent. All personal data associated with your account will be deleted immediately upon account closure. See our Privacy Policy for details.
Clio is an AI-powered academic assistant designed to help students stay organized, prepare for tests, and review their work against their teacher's expectations.
Clio uses artificial intelligence to generate practice questions, homework feedback, and conversational responses. AI-generated content is not guaranteed to be accurate, complete, or error-free. You should always verify important information with your teacher or textbook. Clio's suggestions are meant to support your learning — they are not a substitute for your own judgment.
When you connect your Google Classroom account, you authorize Clio to access your school data as described in our Privacy Policy. This includes your class list, assignments, teacher materials, submission status, and grades.
You — not your school — are the one authorizing this connection through Google's standard sign-in. Some schools may restrict which third-party apps can connect to their Google Workspace. If your school has done this, you may not be able to connect Clio.
Clio accesses Google Classroom in read-only mode. It does not post, submit, or change anything in Google Classroom on your behalf.
You can disconnect Google Classroom from Clio at any time in the app's settings.
You agree to use Clio in a manner consistent with its intended purpose — as an academic support tool. You agree not to:
Violation of these terms may result in account suspension or termination.
Clio offers a free plan with core features and paid plans (Student and Family) with additional features. Paid plans are purchased as monthly or annual subscriptions through the Clio website.
Subscriptions are billed in advance on a recurring basis (monthly or annually) at the rate displayed at the time of purchase. Payment is processed by our third-party payment processor.
You can cancel your subscription at any time. Cancellation takes effect at the end of your current billing period — you will retain access to paid features until then. We do not offer prorated refunds for the current billing period.
We may change subscription prices from time to time. We will notify you at least 30 days before any price increase takes effect. If you do not agree to the new price, you can cancel before it applies.
If a payment fails, your account enters a 30-day grace period. If payment is not resolved within 30 days, your account and all associated data will be permanently deleted.
A parent or guardian may create a parent account linked to their student's Clio account as part of the Family plan. Parent accounts are created on the Clio website.
By creating a parent account, you confirm that you are the parent or legal guardian of the student whose account you are linking to, and that you have agreed to these Terms on the student's behalf.
Parent accounts provide a read-only summary of the student's Clio activity as described in our Privacy Policy. Parent accounts do not provide access to the student's chat transcripts, homework submissions, or practice test content.
The Clio app, website, brand, and all related content are the intellectual property of Hey Clio, Inc. You may not copy, modify, distribute, or create derivative works based on Clio's software, design, or content without our written permission.
Content generated by Clio's AI (practice questions, homework feedback, conversational responses) is provided for your personal, non-commercial use as a study tool. You may not redistribute, publish, or sell AI-generated content from Clio.
Your Google Classroom data remains yours. Clio's access to it does not transfer any ownership of that data to us.
Clio is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. We do not guarantee that Clio will be uninterrupted, error-free, or free of harmful components.
Clio is designed to support your academic efforts, but we do not guarantee that using Clio will result in improved grades, test scores, or academic performance. Academic outcomes depend on many factors beyond Clio's control.
Clio's AI-generated content may contain inaccuracies. You should verify important information independently. Clio is a study tool, not an authoritative academic source.
To the maximum extent permitted by law, Hey Clio, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of Clio.
Our total liability to you for any claim arising from or related to these Terms or your use of Clio shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
If you have a dispute with us, please contact us at support@heyclio.ai first. We will try to resolve it informally within 30 days.
If you are 18 or older, any dispute that cannot be resolved informally shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will take place in Delaware or, at your option, by phone or video conference.
You agree to resolve disputes with us on an individual basis only. You waive any right to participate in a class action, class-wide arbitration, or any other representative proceeding.
If you are under 18, disputes shall be resolved in the courts of the State of Delaware, and you and your parent or guardian consent to the jurisdiction of those courts.
Either party may bring a claim in small claims court if the claim qualifies. Either party may seek injunctive relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
We may update these Terms from time to time. When we make material changes, we will notify you through the app and by posting the updated Terms on our website. Your continued use of Clio after a Terms update means you accept the updated Terms.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hey Clio, Inc. regarding your use of Clio.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
You may not assign or transfer your rights under these Terms. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.
